Terms and Conditions

Parties

Service Provider: Laura Morwani Mangnani t/a Bonsai Digital (“Bonsai Digital”, “we”, “our”, or “us”)
Client: The individual or entity engaging our services (“Client”, “you”, or “your”)

Services

The specific services, timelines, and deliverables will be outlined in individual estimates or project briefs.

Fees and Payment

1. All fees will be outlined in your proposal, estimate or quote.
2. Invoices are issued either upfront, at agreed milestones, or monthly depending on the project scope.
3. Payment terms are strictly 7 days from the date of invoice, unless otherwise agreed.
4. Late payments may incur a 2% monthly interest charge and may result in a pause in services.
5. We reserve the right to on-charge any collection costs, legal fees or interest on any overdue amount that may be incurred on debts not paid in full by the due date listed.
6. All prices are exclusive of GST unless stated otherwise.

Confidentiality

Both parties agree to keep any confidential information shared private and secure, unless disclosure is required by law.

Intellectual Property

1. All original content and creative produced by Bonsai Digital will remain our property until full payment is received.
2. Upon full payment, the Client will receive ownership of final deliverables, excluding any third-party materials used under license.
3. We reserve the right to showcase work in our portfolio and marketing materials, excluding confidential or commercially sensitive information, unless otherwise agreed in writing.

Client Responsibilities

To enable us to deliver our services effectively, you agree to:

1. Provide necessary access (e.g. website admin, hosting accounts, advertising platforms, social media accounts).
2. Respond to communication within a reasonable timeframe
3. Supply all required content, brand assets, feedback and approvals promptly.
4. Delays in client input may affect project timelines and may result in additional charges if significant rescheduling is required.

Revisions

1. Unless otherwise stated in your specific proposal or package, each project includes two rounds of revisions.
2. Additional revisions beyond the included rounds may incur extra fees, which will be communicated in advance.
3. Certain packages my include only one round of revisions, which will be clearly specified in the proposal or scope of work.

Termination

1. Either party may terminate the engagement with 14 days’ written notice.
2. Upon termination, you agree to pay for any work completed up to that point, including expenses or time already incurred.
3. In the event of termination, partial deliverables may be provided at our discretion depending on payments received.

SEO and PPC Disclaimer

While Bonsai Digital will apply industry best practices and strategies for SEO and paid advertising, we do not guarantee specific search engine rankings, website traffic increases, lead generation, or advertising results. Performance depends on multiple factors beyond our control.

Limitation of Liability

1. Bonsai Digital will not be liable for any indirect, incidental, or consequential damages, including loss of profits, arising out of or related to our services.
2. Our total liability is limited to the total fees paid by you for the services in question.

Force Majeure

We are not liable for delays or failure to perform our obligations due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, internet or hosting outages, cyberattacks, or labour disputes.

Governing Law

These Terms and Conditions are governed by the laws of New Zealand. Any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.

Acceptance

By signing the estimate, proposal, or quote provided by Bonsai Digital, you acknowledge that you have read, understood, and agreed to these Terms and Conditions, which are available at bonsaidigital.co.nz/terms-and-conditions.
